1. Agreement Overview
This Client Agreement (“Agreement”) is entered into between:
Online Publication Services (“Service Provider”)
and
The Client (“Client”)
This Agreement governs all services provided by Online Publication Services and becomes effective upon acceptance of a project proposal, quotation, or payment.

2. Scope of Services
The Service Provider agrees to deliver services as outlined in the agreed project proposal, which may include:
• Logo Design
• Pagination
• PDF Design (Print & Digital Ready)
• Proofreading
• Copyright Guidance
• Cover Design
• Web Design & Hosting
• Publishing & Archiving
• Security Services
Add-On Services (if applicable):
• Voiceovers
• Video & Audio Synchronization
• Flip Page Design

3. Project Process
• Work will commence upon agreement and/or receipt of deposit
• The Client will provide all necessary materials, content, and instructions
• The Service Provider will deliver work according to agreed timelines

4. Client Responsibilities
The Client agrees to:
• Provide accurate and lawful content
• Ensure ownership or rights to all submitted materials
• Respond to communications and approvals in a timely manner
• Review deliverables before final approval

5. Fees and Payment Terms
• Fees are agreed prior to project commencement
• A deposit may be required before work begins
• Final payment is required before delivery of final files
• Payments are processed via PayPal or agreed payment methods
Failure to complete payment may result in suspension or withholding of deliverables.

6. Revisions
• A reasonable number of revisions may be included as agreed
• Additional revisions may incur extra charges
• Once final approval is given, further changes may be treated as a new project

7. Intellectual Property Rights
Client Content
All materials provided by the Client remain the property of the Client.
Final Deliverables
Upon full payment:
• Ownership of final deliverables is transferred to the Client
• Source files may be included only if agreed
Portfolio Use
The Service Provider retains the right to showcase completed work for portfolio and promotional purposes unless otherwise agreed in writing.

8. Trademark and Brand Usage
If the Client has an existing registered or pending trademark, the following applies:
• The Client must provide accurate trademark details and documentation
• The Service Provider will design in alignment with the trademark where required
• The Service Provider is not responsible for trademark registration approval or legal compliance
New Logo Designs (Trademark Intent)
If the Client intends to register a new logo:
• The Service Provider may conduct basic research (e.g., WIPO search guidance)
• Final responsibility for trademark registration lies with the Client
• Legal clearance must be obtained independently by the Client
Liability
The Service Provider is not liable for:
• Trademark conflicts
• Registration rejections
• Legal disputes related to intellectual property

9. Copyright and Legal Responsibility
• The Client is responsible for ensuring all submitted content complies with copyright laws
• The Service Provider provides guidance but does not offer legal advice
• The Service Provider is not liable for legal claims arising from content ownership or usage

10. Confidentiality
• All client information and materials are treated as confidential
• No data will be shared with third parties without consent
• This obligation continues after project completion

11. Web Services and Hosting
Where applicable:
• The Client is responsible for domain ownership and renewal
• Hosting services depend on third-party providers
• The Service Provider implements security measures but cannot guarantee absolute protection

12. Data Protection (GDPR Compliance)
• Personal data is handled in accordance with GDPR
• Data is used solely for service delivery and communication
• Payments are securely processed via third-party providers (e.g., PayPal)

13. Delivery and Timelines
• Timelines are agreed at project start
• Delays caused by Client or third parties are not the responsibility of the Service Provider

14. Limitation of Liability
Online Publication Services shall not be held liable for:
• Indirect or consequential losses
• Loss of business, revenue, or data
• Legal issues related to content or intellectual property
• Delays beyond reasonable control

15. Termination
Either party may terminate the agreement if:
• Terms are breached
• Payments are not fulfilled
• Communication fails significantly
The Client agrees to pay for work completed up to the termination date.

16. Governing Law
This Agreement is governed by applicable local and international laws relevant to the operation of Online Publication Services.
