1. Introduction
This Trademark Usage Agreement (“Agreement”) is entered into between:
Online Publication Services (“Service Provider”)
and
The Client (“Client”)
This Agreement governs the use of the Client’s registered or unregistered trademark(s) in connection with services provided.

2. Ownership of Trademark
The Client confirms that:
• They are the legal owner or authorized user of the trademark(s) provided
• The trademark(s) do not infringe upon the rights of any third party
• All trademark materials supplied are accurate and lawful
The Service Provider acknowledges that all trademarks remain the sole property of the Client.

3. Authorized Use of Trademark
The Client grants Online Publication Services a non-exclusive, limited license to use the trademark(s) solely for:
• Design and development of agreed project materials
• Production of publications and related assets
• Integration within digital and print deliverables
This usage is strictly limited to the scope of the agreed services.

4. Portfolio and Marketing Use
The Client grants the Service Provider the right to use the trademark(s), including associated designs, for:
• Portfolio display (digital and print)
• Website showcase (www.onlinepublicationservices.com)
• Professional marketing materials (non-commercial resale)
This use is limited to demonstrating work performed and does not imply ownership or endorsement beyond the project.

5. Limitations of Use
The Service Provider agrees that:
• The trademark will not be altered beyond agreed design requirements
• The trademark will not be used independently outside the project scope
• The trademark will not be sublicensed, sold, or transferred

6. No Transfer of Rights
This Agreement does not transfer ownership of any trademark to the Service Provider.
All rights remain with the Client at all times.

7. Trademark Compliance and Liability
The Client is solely responsible for:
• Trademark registration and legal protection
• Compliance with trademark laws and regulations
• Any disputes, claims, or legal actions related to the trademark
Online Publication Services:
• Does not provide legal advice regarding trademarks
• Is not liable for trademark conflicts, infringements, or registration outcomes

8. Duration and Termination
This Agreement remains in effect:
• For the duration of the project
• And thereafter for portfolio and marketing use, unless otherwise agreed in writing
The Client may request removal of trademark usage from public portfolio materials, subject to reasonable time and feasibility.

9. Confidentiality
All trademark materials and associated content are treated as confidential and will not be disclosed beyond the agreed scope of use.

10. Governing Law
This Agreement is governed by applicable laws relevant to the operation of Online Publication Services.

11. Acceptance
By proceeding with services, the Client acknowledges and agrees to the terms of this Trademark Usage Agreement.
